Logical Health Inc. is a platform that provides AI-powered healthcare solutions for benefits administration, including instant benefits answers, provider search, coverage determination, and member guidance to optimize healthcare outcomes and reduce costs.

Agreement

These Terms of Service (“Terms of Service” or “Terms”) and our Privacy Policy (collectively, this “Agreement”) govern your access and use of the Logical Health website (https://logical.health) (the “Website”) and any other services made available by Logical Health from time to time (collectively, the “Services”). The Services are owned and operated by Logical Health (“Logical Health,” “we,” “us,” or “our”).

LOGICAL HEALTH IS NOT RESPONSIBLE FOR AND CANNOT GUARANTEE THE ACCURACY OR TIMELINESS OF ANY HEALTHCARE OR BENEFITS ADVICE THAT YOU RECEIVE FROM THE LOGICAL HEALTH SOFTWARE. While the Services are intended to provide healthcare guidance and benefits recommendations to our customers, it is up to your business and employees to implement or disregard any suggested changes. Always consult with qualified healthcare professionals for medical advice.

Eligibility

To use the Services, you represent and warrant that you:

  • Are at least 18 years of age.
  • Have not previously been removed from the Services by us.
  • Will not use the Services for any illegal or unauthorized purpose or violate any laws, including but not limited to copyright laws and rights of publicity.
  • Will not transmit any worms, viruses, or any code of a destructive nature.

A breach or violation of any of the Terms will result in immediate termination of your Services.

Acceptance

This Agreement contains the complete terms and conditions that govern your use of the Services. BY CLICKING THE “I AGREE” BUTTON BELOW OR BY ACCESSING, VISITING, BROWSING, USING, OR ATTEMPTING TO INTERACT WITH OR USE ANY PART OF THE SERVICES, YOU AGREE THAT YOU HAVE READ, UNDERSTAND, AND AGREE TO BE BOUND BY THIS AGREEMENT.

THESE TERMS AFFECT YOUR LEGAL RIGHTS AND OBLIGATIONS AND INCLUDE AN AGREEMENT TO ARBITRATE, A JURY TRIAL WAIVER, AND A CLASS ACTION WAIVER.If you do not agree to this Agreement, please do not use the Services.

You are granted a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal use only. This license may be terminated at any time at our sole discretion.

Trademarks

All trademarks, logos, and service marks (“Service Marks”) are the exclusive property of Logical Health or third-party licensors. Nothing in these Terms grants you a license to use any of the Service Marks.

User Prohibitions

You agree that you will not:

  • Reverse engineer, decompile, decode, disassemble, or otherwise derive source code from the Services.
  • Modify, translate, adapt, or create derivative works from the Services.
  • Copy, distribute, publicly display, or exploit the Services in any way.
  • Use cheats, bots, automation software, or any third-party software designed to interfere with the Services.
  • Interfere with or disrupt the Services, including transmitting any malware or unauthorized code.

We reserve the right to refuse access to the Services at our sole discretion.

Geographic Restrictions

The Services are based in the United States and are intended for use by persons located within the United States. Access to the Services may not be legal in certain countries, and if you access the Services outside of the U.S., you do so at your own risk.

Disclaimer of Warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, LOGICAL HEALTH DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO GUARANTEES REGARDING THE ACCURACY OR RELIABILITY OF THE SERVICES.

Limitation of Liability

UNDER NO CIRCUMSTANCES WILL LOGICAL HEALTH BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES ARISING FROM THE USE OR INABILITY TO USE THE SERVICES. IN NO EVENT WILL OUR TOTAL LIABILITY EXCEED TWO HUNDRED DOLLARS ($200.00).

Indemnification

You agree to defend, indemnify, and hold Logical Health harmless from any claims, liabilities, damages, losses, and expenses arising from:

  • Your use or misuse of the Services.
  • Your violation of these Terms.
  • Your infringement of any third-party rights.

Arbitration

ANY DISPUTE ARISING FROM THESE TERMS WILL BE RESOLVED BY BINDING ARBITRATION IN NEW YORK CITY, NEW YORK, UNDER JAMS STREAMLINED ARBITRATION RULES. YOU WAIVE THE RIGHT TO A TRIAL BY JURY AND AGREE NOT TO PARTICIPATE IN ANY CLASS ACTION LAWSUIT.

Governing Law and Jurisdiction

These Terms are governed by the laws of the State of New York, without regard to conflict of laws principles. Any non-arbitrable disputes will be litigated in the courts of New York County, State of New York.

Waiver and Severability

Any waiver of these Terms must be in writing and signed by Logical Health. If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in full force.

Assignment

Logical Health may assign this Agreement at any time. You may not assign or transfer any of your rights under this Agreement without our prior written consent.

Entire Agreement

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Logical Health regarding the Services.
